These Terms of Service ("Terms") govern your use of the website located at smartends.com and the SmartEnds OS platform, including the BrighterBins and VisnLine products and services (collectively, the "Services"), operated by SmartEnds BV, registered in Belgium with its registered office at Vlasgaardstraat 52, 9000 Ghent, Belgium.
By accessing our website or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
The smartends.com website is provided for informational purposes. You may browse, download, and print content for your own non-commercial use. You must not:
Access to the SmartEnds OS platform is granted to Customers under a Subscription agreement. Customers are responsible for ensuring that all Users accessing the platform comply with these Terms and any applicable customer agreement.
You must not share login credentials, allow unauthorised access, or use the platform for any purpose outside the scope of your agreement with SmartEnds.
Where Hardware is provided as part of a HaaS subscription, the Hardware remains the property of SmartEnds at all times. Customers are responsible for reasonable care of deployed Hardware and must notify SmartEnds promptly of any damage, loss, or malfunction.
Subscription fees are set out in your commercial agreement with SmartEnds. Fees are invoiced in advance on a monthly or annual basis as agreed. Late payment may result in suspension of access to the platform.
SmartEnds targets platform availability of 99.5% uptime, excluding scheduled maintenance windows. Support is provided in accordance with the service level terms in your customer agreement. We reserve the right to carry out maintenance with reasonable prior notice.
All operational data generated by your deployed sensors and cameras remains your property. SmartEnds processes this data to provide the Services and may use aggregated, anonymised data for product improvement and benchmarking purposes.
SmartEnds may suspend or terminate access to the platform immediately where: (a) payment obligations are not met; (b) the platform is used in breach of these Terms; or (c) continued provision would expose SmartEnds or third parties to legal or reputational harm.
Either party may terminate a Subscription with notice as specified in the customer agreement. Upon termination, Customer data will be made available for export for 30 days, after which it will be securely deleted.
All intellectual property rights in the SmartEnds OS platform, BrighterBins, VisnLine, associated software, algorithms, dashboards, and website content are owned by SmartEnds BV or its licensors. Nothing in these Terms grants you any ownership rights.
You are granted a limited, non-exclusive, non-transferable licence to use the Services for the duration of your Subscription, solely for your internal business purposes.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services and not to disclose it to third parties without prior written consent, except as required by law.
The Services are provided "as is" and "as available". SmartEnds makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability, except as expressly stated in a customer agreement.
To the maximum extent permitted by Belgian law, SmartEnds shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Services.
Our total aggregate liability to any Customer shall not exceed the total fees paid by that Customer in the 12 months preceding the event giving rise to the claim.
The platform may integrate with or link to third-party services (e.g. mapping providers, ERP systems). SmartEnds is not responsible for the availability, content, or practices of third-party services. Use of third-party integrations is at your own risk.
These Terms are governed by Belgian law. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Ghent, Belgium.
We may update these Terms from time to time. Material changes will be communicated to Customers with at least 30 days notice. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
